Types of Agreements
The following agreements allow for the transfer and exchange of intangible (i.e confidential information) and tangible resources (i.e. research materials).
The confidentiality agreement (CA) is also known as a non-disclosure agreement (NDA) or confidential disclosure agreement (CDA). CAs protect intellectual property rights during discussions with outside parties and facilitate the open exchange of proprietary information.
The material transfer agreement (MTA) governs the transfer of tangible materials between the provider and receiver, such as reagents, plasmids, chemical compounds, or certain types of software. Material transfers may occur between the University and a company; University and a hospital; or the University and another academic institution.
